Terms & Conditions
By engaging the services of TOC Studio LLC (“TOC Studio”, “we”, “us”), the client (“you”, “Client”) agrees to these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you should not engage or use our services.
These terms apply to all projects, proposals, contracts, and communications between TOC Studio and the Client, regardless of the channel used.
1. Services
TOC Studio provides UX/UI design, Framer web development, web content strategy, site maintenance, and related services, as defined in each project proposal or contract.
The specific scope of each project is established in the proposal delivered to the Client. Any service not included in that proposal is considered out of scope and may incur an additional cost.
2. Project Commencement
A project is formally considered started when the following conditions are met:
The Client has signed or approved the project proposal in writing.
The initial payment has been received as stipulated in the proposal.
TOC Studio will not begin any work until both conditions have been fulfilled.
3. Payments and Invoicing
Payment structure
The payment schedule is detailed in each proposal. By default, projects follow a 50% upfront / 50% upon final delivery structure, unless otherwise agreed in writing.
Payment methods
Payments may be made via bank transfer, Wise, PayPal, or other methods agreed upon in writing. TOC Studio will issue a receipt or invoice for each payment received.
Late payments
If a payment is not received within 5 business days of the agreed date, TOC Studio reserves the right to pause work until payment is processed. Payments more than 15 days overdue may result in project cancellation with forfeiture of the initial payment.
Taxes
Prices stated in proposals do not include local taxes unless expressly stated. The Client is responsible for complying with their tax obligations in their jurisdiction.
4. Revisions and Scope Changes
Each proposal specifies the number of revision rounds included. Additional revisions or changes that expand the original project scope will be quoted and invoiced separately.
A scope change is any modification that involves additional work not contemplated in the original proposal: new pages, new features, significant structural changes, or changes to the brief after the design has been approved.
5. Intellectual Property
Transfer of rights
Upon receipt of full payment, TOC Studio transfers to the Client the usage rights to the design and deliverable files defined in the proposal. The Client may freely use, modify, and publish those files.
TOC Studio's rights
TOC Studio reserves the right to use completed work as examples in its portfolio, website, and marketing materials, unless the Client expressly requests otherwise before signing the contract.
Third-party tools and resources
Some projects may involve the use of fonts, plugins, stock images, or other third-party resources. The Client is responsible for acquiring the necessary commercial licenses for such resources where applicable.
6. Client Materials
The Client is responsible for providing all required materials (copy, images, logos, credentials) within the agreed timelines. Delays in providing materials may affect project delivery dates.
By sharing materials with TOC Studio, the Client warrants that they hold the necessary rights for their use in the project.
7. Cancellations and Refunds
If the Client cancels the project after work has begun:
The initial payment is non-refundable.
If the project is cancelled after more than 50% of the work is complete, the Client will owe the remaining balance proportional to the work completed.
If TOC Studio cancels the project for reasons attributable to TOC Studio, a proportional refund will be issued for work not yet performed.
8. Limitation of Liability
TOC Studio shall not be liable for business losses, loss of revenue, indirect, or consequential damages arising from the use or inability to use the delivered website.
TOC Studio does not guarantee specific search engine rankings (SEO), web traffic, or conversion results. These factors depend on multiple variables outside TOC Studio's control.
TOC Studio's maximum liability for any claim shall not exceed the total amount paid by the Client for the project in question.
9. Confidentiality
TOC Studio will treat all Client information as confidential and will not share it with third parties without express authorization, except where required by law.
10. Modifications to These Terms
TOC Studio reserves the right to update these Terms and Conditions at any time. Changes will be notified at least 15 days in advance and will apply to projects started after the effective date.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, USA, where TOC Studio LLC is registered. Any dispute will be resolved, in the first instance, amicably. If no agreement is reached, the parties will submit to the jurisdiction of the competent courts.
